"Danny is an integral part of our offense," Chargers general manager Tom Telesco said in a statement on the team's website. "His work ethic and on-field production were key elements last year. We look forward to having him be a part of the Chargers organization into the future."
Woodhead, 29, is coming off a career year with San Diego, recording 1,296 all-purpose yards in his sixth NFL season. He recorded more receiving touchdowns (six) than any other running back last season.
